Sensol Ltd was established in October 2007 (ABN 90 128 052 611) as an unlisted Public Company. The Sensol Ltd Board of Directors is responsible for the overall corporate governance of Sensol Ltd and is committed to the principles underpinning best practice in corporate governance, applied in a manner that meets Australian industry standards and best addresses the Directors' accountability to shareholders. However, whilst the company will endeavour to comply with all of the guidelines under Australian industry corporate governance recommendations, the Board considers that the company is not currently of a size, nor are its affairs of such complexity, as to require compliance with all recommendations.

Gavin Tulloch, BSc (Hons), PhD, CIEA, FAICD
Director
Dr Gavin Tulloch has more than 25 years of experience in establishing and managing high technology businesses and is experienced in the demands of public company governance and fund raising. He founded and is Chairman of STI, the forerunner of Dyesol Ltd, now a company listed on the ASX. He is also Director General of Greatcell Solar - Dyesol's Swiss subsidiary. Dr Tulloch has a long association with defence industries. His technical expertise is in technical ceramics, materials science and manufacturing engineering. He gained his PhD from the University of New South Wales (UNSW) in the field of semiconducting oxides. He is principal or co-author of many patents.
Gordon Thompson BE(Hons), M.EngSc, FIE (Aust)
Director
Gordon Thompson holds a Masters Degree in Engineering Science and is a Fellow of Engineers Australia. He is a non-Executive Director of Dyesol Ltd and a former Managing Director of the International Centre for the Application of Solar Energy (CASE), a United Nations centre with the charter of promoting renewable energy and developing the solar energy industry. Mr Thompson has worked in many countries including Australia, China, Vietnam, Thailand, Indonesia, Malaysia, India, Palestine, Europe and South Africa. He has solid experience as a senior executive and an extensive network in the Australian and international sustainable energy sector in both the public and private domains.
Sylvia Tulloch, BSc, MSc
Director
Sylvia is a materials scientist with over twenty five years experience in the establishment and management of high technology business. As well as her responsibilities as a Director, Sylvia contributes to project management, leads the quality assurance team and involves herself in materials science challenges across the company. She is co author of several patents in the field of dye solar cell technology. Past roles included CEO of a window manufacturer and business manager of an advanced technology multinational defence company. She was the last President of the Sustainable Energy Industries Association of Australia, Chair of the Renewable Energy Action Agenda Implementation Group and on the committee guiding the Australian Renewable Energy Technology Roadmap, and a Director of the Australian Business Council for Sustainable Energy. She holds a Master of Science degree from the University of NSW. She is currently Managing Director, Dyesol Industries.

Sensol has available an Information Memorandum which has been prepared on a confidential basis solely for the benefit of selected, highly qualified investors and is not for use by any other persons, nor may it be reproduced without permission. The Information Memorandum has not been registered with the Australian Security and Investments Commission (ASIC) nor will it be and it should not be regarded as a prospectus. Sensol Ltd is not required to issue a disclosure document as the offer under this Information Memorandum is classed as a Small Scale Offering as prescribed by s.708 of the Corporations Act 2001.
